It is important that you read them, so please always read these terms and conditions carefully before you submit your order to us. These terms and conditions tell you who we are, how we will provide our products and services to you and other important information you need to know. How we contact you

Should we need to contact you, we will do so by telephone using the number you have supplied or email / writing to you at the email address / postal address you provided to us when placing your order.

Our contract of sale/supply with you

Acceptance of your order

Once you place your order for our services via our website you will receive an acceptance notification.

Once we have sent you an email confirming that we have accepted your order, a contract will come into existence between you and us, which will be subject to these terms. If we are for any reason unable to accept your order, we will inform you of this by telephone or in writing and will not charge you for the order. This might be because we are unable to supply the product /service requested or because your payment has not be authorised.

Sales order reference

We will raise an order reference number for your order and tell you what it is when we accept your order. It will expedite your enquiry if you can quote the order reference number should you need to contact us about it.

Delivery services available

We currently offer our services throughout the UK mainland. However, we will work with you should you / your requirement be offshore based. If you wish to discuss this service further, please contact us by telephone or email and we will raise an ad hoc quotation for you.

Our products & services

Our products and services will always be as described but may not exactly match in appearance the pictures displayed on our website, albeit they will match the description. This is because some of the images displayed on our website are for illustrative purposes only.

Packaging

The packaging of the Products may not always be in original packaging but may be in plain packaging.

Your legal rights

Centrex Lifecycle Solutions Limited is bound by a legal duty to supply products and services to you that are in line with this contract of sale. Nothing in these terms will affect your legal (statutory) rights. You have the right to Products and services that are as described, fit for purpose and of satisfactory quality. Delivery charges, times, location

These will be quoted to you at the time of order and will be based on the service level you have opted to take. We can offer same day, next day, AM, PM or timed deliveries Monday to Friday and in certain cases we are able to offer weekend deliveries too. Delivery will be made to your address as specified by you on your order but can be changed, albeit this could lead to a delay in arrival

If ever our supply of a product or service is interrupted or delayed by an event that is out of our control, we will contact you as soon as possible explaining what has happened together with the corrective action we will take to rectify the issue.

Your rights to cancel or change our contract of sale/supply made with you/

If you wish to cancel or amend your order please contact us as soon as possible by ringing or emailing us quoting your order reference number and we will cancel the delivery. However, should it be too late for us to cancel or amend your order, then please refuse the delivery. As soon as the products are returned to us we will cancel the order and refund you as appropriate.

You should inspect the products as soon as possible after delivery to check that they are correct and not damaged. If, for any reason, you are unhappy with the products you have purchased from us, please contact us as soon as possible by phone or by emailing us detailing why and we will make every effort to rectify your concerns as quickly as we possibly can. You should ideally do this straight away but always within two working days of delivery.

Following your notification to us of any problems with the products in accordance with the paragraph above, we will replace the product or offer you a refund in relation to any unsuitable/faulty/damaged products and any applicable delivery charges. We will always check with you to establish which option we can offer and you would prefer. When it has been agreed to offer you a refund, this will be made to your payment method as used to place the order with us.

Where products are to be replaced, we will liaise with you to let you know when we will redeliver the replacement to you.

Our rights to cancel or change our contract of sale/supply made with you

We may end the contract for the supply of products or services at any time by writing to you if you do not within a reasonable time, allow us to either deliver the products or services to you or for you to collect them from us.

Or additionally, if the information you provide to us is such that we consider it is not accurate or is of a fraudulent nature.

Prices

The price of the products or services we supply to you will either be as listed on our website or quoted to you in writing.

VAT

VAT will be paid at the rate as appropriate at the time of the product or services being supplied to you. VAT will only be charged where appropriate and required.

Payment

We accept payment by credit (excluding American Express and Diners Club) and debit card or by pro forma invoice unless you have an agreed account with payment terms applied, then you must pay for the products and services before we dispatch/supply them to you. Products will not be dispatched or services supplied until payment has been received in full or been invoiced with a purchase order number having been supplied.

Payment for online orders must either be made via the payment screen on our website or via telephone with our administration centre on 01670 320062. Confirmation of your order will then be emailed to the email address you provided when placing your order with us.

Payment security

We will do everything that we reasonably can to ensure that all of the information you give to us when paying for the Products is secure by using an encrypted secure payment mechanism which is overseen by Barclaycard Data Security Manager systems for us. However, in the absence of negligence on our part we will not be legally responsible to you for any loss that you may suffer if a third party gains unauthorised access to any information that you give us.

Our responsibility for loss or damage that you may suffer

If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking of this contract or our failing to use reasonable care and effort to prevent it. Loss or damage is foreseeable if either it is obvious that it will happen or if at the time the contract was made, both we and you knew it might happen.

Exclusion or limitation of liability to you, where it would be unlawful to do so

This responsibility includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the products and services including the right to receive products and services which are as described and match the information we have provided to you and of a satisfactory quality.

We will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

How we use your personal information

In relation to the personal information you provide to us to supply the products and services to you we will use it to process your payment for the order and only if you agreed to it during the ordering process, to give you information about similar products and services that that we offer. However, you may opt to stop receiving this information at any time by contacting us and opting out. We will only give your personal information to third parties where the law either requires or allows us to do so.

Rights of contract

This contract is between you (the buyer) and us (the seller). No other person shall have any rights to enforce any of its terms.

Should a court find a part of the contract illegal, the rest will continue to remain in force as each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

Should we not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things or that it will prevent us taking steps against you at a later date. The most common example being that should you miss a payment and we do not immediately chase you, but we continue to provide the products and services to you, we can still require you to make the payment at a later date. Legal ownership, or title, to the goods will not pass from us the seller to you the buyer until you the buyer has paid for the goods.

Applicable law

These terms (and any contract entered into subject to these terms) are governed by English law and, in the event that you have any complaints that we are unable to resolve with you, you can bring legal proceedings in respect of the products or services in the English courts. If you live in Scotland you can bring legal proceedings in respect of the products or services in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products or services in either the Northern Irish or the English courts.
